ORAL ORDER: Having reviewed the parties' joint status report (D.I. 289), as well as the parties' briefing on the motion to bifurcate willfulness (D.I. 228) and having heard argument on that motion on January 23, IT IS HEREBY ORDERED that: (i) Defendants' motion (D.I. 228) is GRANTED to the extent that discovery and all further proceedings relating to the allegations of willful infringement are STAYED and will proceed again, to the extent necessary, after infringement and invalidity (and, if permitted, inequitable conduct) are determined; (ii) Defendants shall serve their privilege logs, including logging post-complaint documents through November 1, 2017, no later than March 23, 2018; and (iii) the scheduling order is modified as follows: (a) all agreed-upon dates (see D.I. 289 at 10-11) are ADOPTED, including May 18 for the close of fact discovery, which the Court agrees with Plaintiff is limited in the manner articulated by Plaintiff - whether additional discovery should be permitted due to allegations of inequitable conduct will be considered in connection with evaluation of Defendants' motion for leave to amend (D.I. 294); (b) Plaintiff's proposed dates for completion of expert depositions and filing of Daubert and dispositive motions are ADOPTED; and (c) Defendants' request to move the trial date (a date they proposed) is DENIED. Notwithstanding the Federal Circuit's recent privilege decision in Alcon, the Court has determined that the best approach in this case at this time is to resolve the other issues in this case before proceeding further with willfulness. The Court believes this will reduce the number of discovery disputes and, depending on the resolution of other issues, may moot the issue of willfulness. The Court is not persuaded that this outcome unfairly prejudices Plaintiff either by depriving it of evidence it should have for purposes of trying infringement, invalidity, and/or inequitable conduct, or by delaying the time by which this case will reach final judgment (for reasons including that Plaintiff does not have a product on the market and is seeking only damages). The Court will allow witnesses to be deposed a second time, if necessary, and additional motions to be filed, once today's stay relating to willfulness is lifted (after resolution of the other issues). Ultimately, should Defendants' representations as to the lack of evidentiary overlap between evidence going to willfulness and evidence going to infringement and/or invalidity prove to be incorrect, and should this necessitate reopening/retrial of infringement and/or invalidity, the Court will likely be receptive to a request from Plaintiff to deem this an "exceptional case" and/or shift costs associated with a retrial to Defendants. ORAL ORDER: Having reviewed the materials submitted by the parties (see D.I. 294, 295, 297, 301), IT IS HEREBY ORDERED that Defendants' motion to amend their answers and counterclaims to add inequitable conduct (D.I. 294) is GRANTED. Defendants' proposed amendment is consistent with FRCP 15(a), which requires leave to be freely granted when justice so requires, as the proposed amendment is not futile, unduly delayed, or the result of bad faith or dilatory motive. To the contrary, Defendants have sufficiently alleged with particularity the elements of a meritorious claim (if proven) of inequitable conduct, including specific individuals who allegedly had a duty to disclose information allegedly material to patentability who allegedly failed to do so due to a specific intent to deceive the PTO. (See, e.g., D.I. 294 Ex. A para. 272-76, 277-98, 299-303) While Defendants may fail to meet their high burden of proving inequitable conduct on the merits, for reasons including the apparent disclosure to interested third parties and ultimately the public of the information allegedly withheld from the PTO, they have plead a plausible claim. Under the totality of circumstances, Defendants acted diligently, particularly considering that they filed their motion in March 2018, with several months left of fact discovery, and approximately a year before trial. Defendants have also demonstrated good cause for the timing of their filing, for reasons including the need to take depositions (some of which did not occur until January and February 2018), before levelling accusations of this nature, thereby meeting their burden under FRCP 16(b). Any prejudice to Plaintiff (e.g., the need to take additional discovery, having to deal with additional unwanted claims) is not sufficient to persuade the Court to deny the proposed amendment.
